Terms of Service

These Terms of Service ("Terms") govern your access to and use of CloseKit ("CloseKit", "we", "us", or "the Service"), available at closekit.cc. By creating an account, accessing the Service, or paying for a subscription, you agree to be bound by these Terms. If you do not agree, do not use the Service.

CloseKit is a real estate transaction management platform that helps licensed real estate professionals track deals, generate milestone timelines, manage documents, and share progress with their clients through private portal links. CloseKit is software — it is not a real estate brokerage, escrow agent, title company, attorney, or licensed advisor of any kind.

To use the Service, you must:

• Be at least 18 years old.
• Be a resident of the United States.
• Be using the Service for legitimate real estate business — as a licensed agent, broker, transaction coordinator, property manager, or in another role authorized to handle real estate transactions in your jurisdiction.
• Have authority to enter into this agreement.

The Service is not offered to residents of the European Union or European Economic Area. If you are located outside the United States, you should not use the Service.

You are responsible for keeping your credentials confidential, for all activity that occurs under your account, and for the accuracy of the information you provide. You may not share your account with anyone else, create multiple accounts to circumvent limits, or impersonate another person. Notify us immediately at closekit1@outlook.com if you suspect unauthorized access.

CloseKit is offered on a subscription basis. The Free plan is limited; paid plans (Pro at $14/month and Team at $49/month, prices subject to change with 30 days' notice) unlock additional features. Paid subscriptions are billed monthly through Stripe and renew automatically until cancelled. By subscribing, you authorize us to charge your payment method on each renewal date.

Prices, plan inclusions, and feature gates are listed on closekit.cc/#pricing and may change. We will notify you in advance of any price increase that affects your subscription.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you keep paid-tier access until then. After your billing period ends, your account reverts to the Free plan automatically.

All sales are final. We do not provide refunds, credits, or pro-rated returns for partial months, unused features, downgrades, or cancellations, except where a refund is required by applicable law. If you believe a charge was made in error, contact us at closekit1@outlook.com within 30 days and we will review the matter in good faith.

You agree not to:

• Use the Service for any illegal purpose or in violation of real estate licensing laws.
• Send spam, harassing, or unsolicited messages through the client portal.
• Share portal links with parties who are not authorized to view that transaction.
• Reverse engineer, scrape, or attempt to extract source code or proprietary data.
• Interfere with the Service's operation, attempt to bypass rate limits, or probe for vulnerabilities without prior written authorization.
• Upload malware, fraudulent documents, or content you do not have the right to upload.
• Resell or sublicense the Service without our written permission.

You retain all rights to the contracts, deal information, client details, and other content you upload ("Your Content"). You grant CloseKit a limited, worldwide, non-exclusive license to host, process, transmit, display, and back up Your Content solely for the purpose of providing the Service to you.

You are responsible for ensuring you have all necessary rights, consents, and authority to upload client information and contracts. You warrant that your use of the Service complies with all applicable real estate, privacy, and consumer protection laws.

How we handle data is described in our Privacy Policy, which is incorporated into these Terms by reference.

CloseKit uses third-party providers to deliver the Service, including Stripe (payments), Supabase (database and authentication), Resend (transactional email), and Vercel (hosting). Your use of those providers' services through CloseKit is subject to their respective terms and privacy policies. We do not control them and are not liable for their actions.

The Service is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or accurate. We do not guarantee that PDF parsing will identify the correct fields in every document, that milestone deadlines or extracted dates will be correct, or that notifications will arrive on time.

CloseKit is not legal, tax, financial, or real estate advice. Nothing on this site or within the Service substitutes for advice from a licensed real estate attorney, broker, accountant, or other qualified professional. You are solely responsible for verifying transaction deadlines, contract terms, and compliance with applicable laws.

To the maximum extent permitted by law, CloseKit's total cumulative liability arising out of or related to these Terms or your use of the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or $100, whichever is greater.

CloseKit is not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost deals, missed deadlines, transaction failures, contract errors, or data loss — even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless CloseKit, its operator, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third party rights, or any content you upload or share through the Service.

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or other lawful reason. We will make reasonable efforts to notify you and to allow you to export your data before deletion. On termination, your right to use the Service ends immediately, but Sections 7, 9, 12, 13, 14, and 17 survive.

We may update these Terms from time to time. If we make material changes, we will notify you by email and post the updated Terms on this page with a new "Last updated" date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there.
